These Terms of Service ("Terms") govern your access to and use of the uniportal.ai website and Uniportal's cloud-hosted agentic AI platform for MSP helpdesk workflow automation (the "Services"), provided by Uniportal Inc. ("Uniportal", "we", "us").
By accessing our website or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Uniportal is provided under signed order forms and service agreements. If you or your organization has entered into a separate signed agreement with Uniportal (a "Customer Agreement"), that Customer Agreement governs your use of the Services and prevails over these Terms to the extent of any conflict. These Terms apply to your use of our website and, where no Customer Agreement is in place, to any access to the Services.
Uniportal is an AI co-worker platform that automates helpdesk workflows for managed service providers, working alongside your PSA, RMM, identity, documentation, and billing tools. Use of the Services consumes AI Credits, Uniportal's in-app usage currency. Credit consumption varies by action based on underlying compute and model costs, and real-time usage and rates are visible in the admin dashboard. Unless your Customer Agreement states otherwise, credits do not carry forward and expire at the end of each billing period.
Your organization will designate administrative users and credentials for its Uniportal account. You are responsible for maintaining the security and confidentiality of your account credentials and for all activity that occurs under your account, with or without your knowledge or consent. Notify us promptly at support@uniportal.ai of any suspected unauthorized use. We may refuse or cancel credentials we reasonably deem inappropriate.
You will not, directly or indirectly: (a) reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, underlying structure, ideas, know-how, or algorithms of the Services or related software; (b) modify, translate, or create derivative works based on the Services, except as expressly permitted by Uniportal or authorized within the Services; (c) use the Services for timesharing or service bureau purposes, or otherwise for the benefit of a third party; (d) remove any proprietary notices or labels; or (e) use the Services in violation of applicable laws or regulations or Uniportal's published policies then in effect.
You represent that you are not located in, or a national or resident of, any country subject to a U.S. government embargo, and that you are not on any U.S. government list of prohibited or restricted parties. You agree to comply with all applicable export control and sanctions laws in connection with your use of the Services.
Fees for the Services are set out in your order form or Customer Agreement and are payable in advance unless otherwise stated. If your usage exceeds your included service capacity, additional fees may apply. You are responsible for all applicable taxes other than taxes based on Uniportal's net income. Overdue amounts may be subject to a finance charge of 1.5% per month, or the maximum permitted by law if lower, and nonpayment may result in suspension or termination of the Services. If you believe you have been billed incorrectly, contact us within 60 days of the first billing statement showing the issue.
You own your data. As between you and Uniportal, you retain all right, title, and interest in and to the data you provide to the Services ("Customer Data"), as well as any data derived from Customer Data and provided back to you as part of the Services. We use Customer Data to provide and support the Services.
Uniportal may collect and analyze data relating to the provision, use, and performance of the Services and related systems, and may use that information to improve and enhance the Services and for development, diagnostic, and corrective purposes. Any disclosure of such data is made solely in aggregated or de-identified form.
Each party agrees to take reasonable precautions to protect the other party's non-public business, technical, or financial information, and to use it only as needed to provide or use the Services. This obligation does not apply to information that is or becomes publicly available, was already known to the receiving party, was rightfully disclosed by a third party without restriction, was independently developed, or is required to be disclosed by law.
Uniportal owns and retains all right, title, and interest in and to the Services and underlying software, all improvements, enhancements, and modifications, any technology developed in connection with the Services or support, and all related intellectual property rights. No rights or licenses are granted except as expressly set forth in these Terms or a Customer Agreement.
Unless your Customer Agreement states otherwise, subscriptions are month-to-month and renew automatically each billing period. You may cancel at any time by written notice to support@uniportal.ai. Service continues through the end of the current paid billing period, after which no further fees are charged. Fees paid for the current period are non-refundable.
Either party may terminate for material breach upon thirty (30) days' notice, or without notice in the case of nonpayment. Provisions that by their nature should survive termination will survive, including accrued payment obligations, confidentiality, warranty disclaimers, and limitations of liability.
We use reasonable efforts consistent with prevailing industry standards to maintain the Services in a manner that minimizes errors and interruptions. The Services may be temporarily unavailable for scheduled maintenance, unscheduled emergency maintenance, or causes beyond our reasonable control. HOWEVER, THE SERVICES ARE PROVIDED "AS IS." UNIPORTAL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR FREE, AND MAKES NO WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SERVICES. UNIPORTAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND EXCEPT FOR BODILY INJURY OF A PERSON, UNIPORTAL AND ITS SUPPLIERS, OFFICERS, AFFILIATES, REPRESENTATIVES, CONTRACTORS, AND EMPLOYEES SHALL NOT BE RESPONSIBLE OR LIABLE UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY, OR OTHER THEORY: (A) FOR ERROR OR INTERRUPTION OF USE, OR FOR LOSS, INACCURACY, OR CORRUPTION OF DATA, OR COST OF PROCUREMENT OF SUBSTITUTE GOODS, SERVICES, OR TECHNOLOGY, OR LOSS OF BUSINESS; (B) FOR ANY INDIRECT, EXEMPLARY, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES; (C) FOR ANY MATTER BEYOND UNIPORTAL'S REASONABLE CONTROL; OR (D) FOR AGGREGATE AMOUNTS THAT EXCEED THE FEES PAID TO UNIPORTAL FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, IN EACH CASE WHETHER OR NOT UNIPORTAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify and hold Uniportal harmless from any damages, losses, liabilities, settlements, and expenses (including reasonable costs and attorneys' fees) in connection with any claim or action arising from your violation of these Terms, your violation of applicable law, or your use of the Services.
We may update the Services and these Terms from time to time. If we make material changes to these Terms, we will post the updated version on this page and revise the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms. Changes to these Terms do not modify any signed Customer Agreement.
If any provision of these Terms is found unenforceable or invalid, it will be limited or eliminated to the minimum extent necessary and the remaining provisions will remain in full force and effect. You may not assign or transfer these Terms without Uniportal's prior written consent; Uniportal may assign its rights and obligations without consent. These Terms, together with any applicable Customer Agreement, constitute the entire agreement between you and Uniportal regarding the Services. These Terms are governed by the laws of the Province of British Columbia, Canada, without regard to its conflict of laws provisions.
